Consumer Protection Notice (Section 49 Consumer Protection Act 68 of 2008)

Important Risk Allocation: Clauses in these Terms of Service that limit Mind Haven's liability, allocate risk to you, or require an indemnity from you have been drafted in plain, understandable language and are highlighted in bold. Please review Section 3 (Emergency Disclaimer), Section 7 (Beacon Ethics & Cybercrimes), Section 10 (Force Majeure & Load Shedding), Section 11 (Limitation of Liability), and Section 12 (Indemnification) carefully before activating the LifeLink application, dispatching emergency beacons, or participating as a volunteer helper.

01. Acceptance of Terms & Electronic Contract Formation

By accessing mindhaven.co.za, registering an account on the LifeLink portal (lifelink-production.web.app), triggering an emergency distress beacon, or registering as a volunteer community helper, you agree to be bound by these Terms and Conditions of Service ("Terms").

If you are accepting these Terms on behalf of an incorporated juristic entity (such as a Community Police Forum, private security operator, corporate enterprise, or educational institution), you warrant and represent that you hold full statutory authority to legally bind that entity in terms of the Companies Act 71 of 2008 or its governing constitution.

In accordance with Section 22 of the Electronic Communications and Transactions Act No. 25 of 2002 ("ECTA"), an agreement is concluded between you and Mind Haven Innovations (Pty) Ltd at the time and place where the acceptance of the offer is received by our servers in the Republic of South Africa.

02. Scope of Systems, Field Operations & LifeLink Deployment

Mind Haven Innovations (Pty) Ltd operates the operational deployment arm of the LifeLink civic safety ecosystem across four interconnected pillars:

  • Emergency Dispatch Command Operations: 24/7 centralized dispatch consoles, telemetry verification, geolocation routing, and seamless escalation to statutory emergency desks.
  • Community Guardian Mesh: Verification, geofenced alerting, and proximity routing of accredited neighborhood watch members, CPF patrollers, and citizen first aiders.
  • Zero-Knowledge Biometric Identification: Rapid, privacy-preserving missing persons and vulnerable dependent reunification using on-device cryptographic hashing licensed from VaultCore Solutions.
  • Civic Appreciation Economy: Non-custodial helper appreciation wallets rewarding verified, altruistic assistance rendered to community members.

03. Statutory Critical Life-Safety Disclaimer (SAPS 10111 / 112)

LifeLink Augmentation Disclaimer

LifeLink is an auxiliary community assistance mesh and does not replace the statutory emergency functions of the South African Police Service (SAPS), municipal emergency services, or provincial health authorities.

In all immediate life-or-death situations, violent crimes, armed robberies, or severe medical trauma, you must dial statutory national emergency hotlines:

While Mind Haven Innovations aims for rapid proximity alert dissemination, actual volunteer responder arrival times depend on community member availability, traffic, weather, and proximity. MHI gives no warranty that any volunteer helper or private security responder will be within physical range to respond to any alert.

04. Commercial Model, Subscriptions & Helper Wallets

1. Currency & Pricing: All subscription tariffs, family circle packages, and enterprise dispatch rates are quoted and payable in South African Rand (ZAR). Where Value-Added Tax becomes statutory in terms of Section 23 of the Value-Added Tax Act 89 of 1991, applicable VAT will be invoiced accordingly.

2. Regulated Payment Processing: Payments are processed via Paystack (a PASA-registered, PCI-DSS Level 1 compliant gateway supporting Instant EFT, Debit/Credit Cards, and Apple Pay) or through electronic funds transfer (EFT) directly into MHI’s corporate account. We never store credit card numbers, debit card numbers, or CVV security codes on our infrastructure.

3. Helper Appreciation Token Wallets: Tokens awarded to verified civic helpers represent non-custodial community appreciation credits. Tokens are subject to anti-fraud verification before redemption or settlement. MHI reserves the statutory right to cancel or claw back tokens awarded in connection with collusive, fraudulent, or staged emergency events.

4. Default & Late Payment: In the event of unpaid subscription invoices exceeding 14 (fourteen) calendar days from due date, MHI reserves the statutory right to charge interest at the maximum rate permitted under the Prescribed Rate of Interest Act 55 of 1975, and to suspend non-emergency premium features until full settlement is cleared.

05. Dual Intellectual Property Law & Licensing

Intellectual property across the Mind Haven and LifeLink ecosystems is structured under a strict dual-ownership standard:

A. Core Proprietary Technology & Licensing

Mind Haven Innovations (Pty) Ltd and technology licensor VaultCore Solutions (Pty) Ltd retain 100% exclusive global ownership of all software codebases, zero-knowledge biometric hashing algorithms, dispatch console interfaces, decentralized IPFS node configurations, and LifeLink branding. Users receive a limited, revocable, non-exclusive, personal license solely to access the platform for safety purposes.

B. Member & Community Data Sovereignty

Members and family circles retain absolute ownership of all personal profiles, emergency contact records, and voluntary medical notes submitted to the platform. MHI acts solely as a statutory Responsible Party and Operator under POPIA Act 4 of 2013 and never claims ownership or commercial exploitation rights over user data.

06. Civilian Helpers & Good Samaritan Ethics

Civic members registering as LifeLink Community Responders operate under the Good Samaritan principle:

  • No Law Enforcement Powers: Registration as a community helper does not grant law enforcement powers, arrest rights beyond ordinary citizen's arrest under Section 42 of the Criminal Procedure Act 51 of 1977, or special traffic exemptions under the National Road Traffic Act 93 of 1996.
  • Strict Prohibition on Scene Photography: Taking unauthorized photographs, videos, or audio recordings of victims, minors, or incident scenes is strictly prohibited and constitutes an immediate material breach, triggering instant account termination and referral to law enforcement.
  • Deferral to Statutory Responders: Helpers must immediately defer to SAPS, municipal fire, and accredited paramedics upon their arrival at any incident scene.

07. Distress Beacons & Cybercrimes Act Prohibitions

The LifeLink emergency network is engineered strictly for life-safety crises. In terms of South African law and the Cybercrimes Act No. 19 of 2020:

  • Submitting false, malicious, prank, or fraudulent emergency distress beacons is a criminal offense.
  • Using geolocation telemetry or proximity navigation vectors to stalk, harass, intimidate, or unlawfully track any individual is strictly prohibited.
  • Attempting to intercept, reverse-engineer, decompile, or inject malicious payloads into zero-knowledge biometric hashes or decentralized IPFS nodes is strictly prohibited.

* Perpetrators will be prosecuted to the fullest extent of the law, including claims for operational response costs and civil damages.

08. Managed Cloud Infrastructure & 99.9% Uptime Baseline

Where MHI provisions cloud infrastructure, dispatch portals, and telemetry nodes (via Truehost cPanel, Google Cloud Platform `africa-south1` Johannesburg cluster, and decentralized IPFS node clusters):

  • Service Uptime Baseline: We strive to maintain a 99.9% network availability service baseline for critical emergency dispatch routing. Scheduled maintenance windows are conducted during low-incident hours with failover redundancies.
  • Decentralized Redundancy: Critical cryptographic hashes and public safety announcements are replicated across decentralized IPFS nodes to guarantee survivability during single-point cloud failures.

09. POPIA Compliance & Data Vault Invariants

Mind Haven Innovations adheres to the Protection of Personal Information Act 4 of 2013 ("POPIA"):

  • All registration and contact forms enforce clear Section 18 statutory notifications and voluntary consent checkboxes prior to personal data collection.
  • Storage directories and internal API endpoints are fortified against public web browsing via strict server-level directives and least-privilege role-based access.

10. Force Majeure, Load-Shedding & Grid Curtailment

Neither party shall be held in breach of these Terms or liable for delay in performing obligations where such delay results from events beyond reasonable commercial control, including but not limited to:

National or municipal power grid curtailments ("load-shedding"), undersea telecommunications fiber cable severances, major GSM cellular network blackouts, acts of God, civil commotion, state of disaster proclamations, cyberwarfare, or localized telecommunication tower battery failures.

Where a Force Majeure event persists uninterrupted for more than 30 (thirty) consecutive calendar days, either party may terminate the affected service agreement upon written notice.

11. Limitation of Liability & CPA Section 51 Risk Allocation

To the maximum extent permitted under Section 51 of the Consumer Protection Act 68 of 2008 and South African common law:

1. No Consequential or Indirect Damages: In no event shall Mind Haven Innovations (Pty) Ltd, its directors, officers, employees, parent holding company Horizon Strategic Group (Pty) Ltd, or technology licensor VaultCore Solutions (Pty) Ltd be liable to the user or any third party for any indirect, special, incidental, punitive, or consequential damages, including loss of anticipated commercial profits, loss of business opportunity, operational downtime, or loss of corrupt data.

2. Monetary Liability Cap: MHI's total aggregate liability arising out of or related to any service agreement or incident, whether founded in contract, delict (including negligence), statutory breach, or otherwise, shall be strictly capped at the total amount actually paid by the user to MHI during the 3 (three) months preceding the incident giving rise to liability, or R1,000 (one thousand South African Rand), whichever is greater.

12. User Indemnification & Third-Party Protection

You agree to defend, indemnify, and hold harmless Mind Haven Innovations (Pty) Ltd, its directors, employees, volunteers, and technology licensors from and against any claims, liabilities, damages, losses, and legal costs (on an attorney-and-own-client scale) arising out of or related to:

  • Your breach of any provision of these Terms or the POPIA Privacy Policy.
  • Submission of false, frivolous, or malicious distress signals or alerts.
  • Your conduct, acts, or omissions as an independent civilian volunteer helper.
  • Infringement by you of any third-party constitutional, intellectual property, or privacy rights.

13. Suspension, Termination & Scheduled Purge

1. Immediate Termination for Material Breach: MHI reserves the statutory right to immediately suspend or terminate access to LifeLink services for any member who engages in abusive conduct, triggers false alarms, breaches victim confidentiality, or violates community standards.

2. Voluntary Cancellation: Subscribed members may cancel monthly recurring retainers upon 30 (thirty) calendar days' written notice prior to the end of the current billing cycle.

3. Scheduled Data Purge: Upon verified account termination, all active profiles, family circle groupings, and biometric hashes will be permanently erased or irreversibly anonymized in compliance with our POPIA Retention Schedule within forty-eight (48) hours.

14. Governing Law & AFSA Expedited Arbitration

These Terms, their interpretation, and all legal relationships arising therefrom shall be governed exclusively by the laws of the Republic of South Africa.

Any dispute, controversy, or claim arising out of or relating to these Terms, including the breach, termination, or invalidity thereof, shall be submitted to confidential, binding arbitration in accordance with the Expedited Commercial Rules of the Arbitration Foundation of Southern Africa ("AFSA").

The arbitration shall be conducted in Pretoria or Johannesburg before a single arbitrator appointed by AFSA. Nothing in this clause shall preclude either party from seeking urgent interim relief from the High Court of South Africa (Gauteng Division, Pretoria) having jurisdiction.

15. Domicilium Citandi et Executandi (Legal Notices)

Mind Haven Innovations (Pty) Ltd chooses as its domicilium citandi et executandi for all purposes under these Terms, whether in respect of court process, notices, or other statutory documents:
